Important. Swaddra is a software platform only. We do not prepare, store, transport, sell, or inspect food. We do not verify food safety, allergens, ingredients, certifications, licenses, or any other claim made by a Seller using our platform. Buyers should direct all food-related questions to the Seller they purchase from.

1. About Swaddra

Swaddra is a software platform that lets food businesses (caterers, home cooks, food trucks, and similar — "Sellers") take orders online from their own customers ("Buyers"). Swaddra does not cook, prepare, handle, store, deliver, or sell food. Swaddra is not a marketplace operator, a food broker, a delivery service, or an insurer. We provide tools; the Seller provides everything else.

2. Your account

You must provide accurate information when creating an account. You are responsible for keeping your login credentials secure and for everything that happens under your account. You must be at least 18 years old to use Swaddra.

3. Seller responsibilities

If you use Swaddra as a Seller, you alone are responsible for everything related to the food you sell, including but not limited to:
  • Food safety, hygiene, and proper storage at every step of preparation, delivery, and pickup
  • Accurate and complete allergen information, ingredient lists, and product descriptions
  • Holding all food-handling certifications, business permits, health inspections, and licenses required where you operate
  • Compliance with all local, regional, and national food safety, labelling, taxation, and consumer-protection laws
  • Insurance appropriate for selling food (general liability, product liability, etc.)
  • Your relationship with your Buyers, including refunds, complaints, disputes, and customer support
  • Tax collection and remittance on your sales
You confirm that all information you publish on Swaddra (menu items, descriptions, photos, allergen flags, hours, contact info) is accurate and not misleading.

4. What you may not do

You may not use Swaddra to sell anything illegal where you operate, anything that poses a known and undisclosed risk to Buyers, anything you do not have the legal right to sell, or anything that violates these terms. We may remove content or suspend accounts at our discretion.

5. Subscriptions and payments to Swaddra

Swaddra offers a free plan and paid plans (Basic and Pro). Paid plans are billed monthly or annually in advance through Stripe. You can cancel anytime — your plan stays active until the end of your current billing period. We do not refund partial months or partial years.

6. Online payments from your Buyers (Stripe Connect)

When you connect a Stripe account to accept card payments from your Buyers, payments go directly to your Stripe account. Swaddra never holds, controls, or has access to your Buyers' money. Your relationship with Stripe is governed by Stripe's own Connected Account Agreement and Services Agreement. You are the merchant of record for those transactions and are solely responsible for chargebacks, refunds, fraud, and tax collection on your sales.

7. Cancellation and termination

You can delete your account at any time from your settings. We may suspend or terminate accounts that violate these terms, abuse the service, fail to pay for paid plans, or expose Swaddra to legal risk. Termination does not refund prepaid subscription fees except where required by law.

8. Disclaimers

Swaddra is provided "as is" and "as available", without warranties of any kind, express or implied. We do not guarantee that the service will be uninterrupted, error-free, secure, or that orders, messages, or data will not be lost or delayed.

We do not warrant the quality, safety, legality, accuracy, or fitness for purpose of any food, product, or service offered by any Seller using Swaddra. Any food-related dispute — including but not limited to allergic reactions, food-borne illness, mislabelling, missing certificates, late or spoiled deliveries, incorrect orders, or regulatory violations — is between the Buyer and the Seller. Swaddra is not a party to that dispute and will not mediate, arbitrate, refund, or compensate.

9. Limitation of liability

To the maximum extent permitted by law, Swaddra and its operator are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of (or inability to use) the service. Our total liability to you for any claim arising out of or relating to the service will not exceed the greater of (a) the amount you paid Swaddra in the 12 months preceding the claim, or (b) CAD $50.

10. Indemnification

You agree to defend, indemnify, and hold harmless Swaddra and its operator from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) the food, products, or services you sell through Swaddra; (b) your relationship with your Buyers; (c) your violation of any law, regulation, or third-party right; (d) any inaccurate, misleading, or missing information you publish on the platform; or (e) your breach of these terms.

11. Changes to these terms

We may update these terms from time to time. If we make material changes, we will notify you by email. Continued use of Swaddra after changes means you accept the new terms.

12. Governing law

These terms are governed by the laws of the Province of Quebec and the laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these terms will be brought exclusively before the courts of the Province of Quebec, district of Montréal.
